Pre-Sale Operational Assessment – Buyer Side

Background:

Buying a business is a large undertaking and buying a greenhouse or nursery operation had additional complexities due to the nature of the products being sold and the extreme seasonality of most crops.

A set of fresh, experienced eyes can help you evaluate your pending business purchase, including facilities, personnel organization and a high-level inventory, customer and financial review.

We will work with you to provide unbiased input on how to achieve your objectives.

Product:

In the AGS Pre Sale Operational assessment – buyer side engagement we will conduct a series of discovery meetings with the prospective owner to identify experience, goals, uncertainties, and objectives for the business. We will also conduct an onsite visit and interviews with leaders, management, and key employees to assess areas of your target business including:

  • Facility and Inventory and High level operations Review
  • Organization Structure and key leadership interviews
  • Financial Review
  • Customer Review

We will then use this information coupled with our experience to provide the findings of our assessment and provide next steps to improve your potential to achieve your objectives.

How it works:

When you engage with us for a Grower Strategic Assessment it will progress through these phases.

Phase

Description

Initiation and Discovery

In this phase we have discovery meetings with the potential buyer to assess their situation, objectives and needs.

We will help build a schedule and list of key data needed in due diligence.

Site Visit and Organizational Interviews

After discovery we conduct an on-site visit with a facility walk through, inventory review, interviews of key leaders and meetings with identified key personnel to better understand the business, current state, strengths, etc.

Data Gathering and Analysis

As we gather interview data and other related information from discovery and site visits, we will begin to assess, analyze what we have seen to formulate key themes that coalesce in each area. We will then map those to key potential owner objectives to build out a high-level list of opportunities and risks.

Report and Review

Once we have gathered and finished our analysis, we will author a report tailored to your situation with our findings, analysis, risks and opportunities and recommended steps to move forward. Additionally, we will have a review meeting with you review our findings and recommendations.

Grower Questions and FAQs

How long does it take?
Typically, these engagements can be completed in a few weeks depending on the buyer situation, the target grower schedule and situation, the volume and condition of data to crunch and the complexity of the grower’s business model.
What do I get?
At the end of the engagement, you will be provided with the key findings, analysis, risks and opportunities and recommendations for moving forward in a report. Further we will have a review with you to cover our findings and recommendations.
What is a pre-sale assessment worth?
A tailored pre-sale assessment has immense value for a future owner. Business purchases can run into the millions of dollars for smaller businesses. In practical terms the pre-sale assessment helps you understand any disconnects in your view of the business and the view of it in terms of your objectives and situation. Although not a formal appraisal our experienced consultants can help with key areas of inventory valuation, efficiency improvement recommendations, production, sales, and marketing strategies to meet growth objectives, as well as potential capital investment for future objectives. Any of these areas alone could be worth 10’s or 100’s of thousands of dollars in new revenue or cost savings. Through our collaborative work structure this assessment can bring to light new ideas previously unknown or issues that were undisclosed that need to be addressed.
